1. Introduction

The following document outlines the terms and conditions governing the use of LabX's services ("Services"). By accessing or using the Services, you agree to be bound by these terms and conditions. These terms may only be modified with the written consent of an authorized officer of LabX. LabX reserves the right to modify this agreement at any time without prior notice. It is the responsibility of users to review these terms periodically for any changes. LabX will make reasonable efforts to provide notice of any material changes to the agreement. Users' continued use of the Services after the effective date of any modifications constitutes acceptance of the updated terms. Users who do not agree to the modified terms should discontinue their use of the Services.

2. Eligibility Criteria for the Use of the LabX.com Platform

LabX's services are available exclusively to individuals who have the legal capacity to enter into binding contracts. Users must be of legal age and possess the requisite legal capacity to participate in any features of the LabX platform. LabX reserves the right to refuse services to individuals or entities that, at LabX's sole discretion, have been determined to pose harm or detriment to the LabX website.

3. Services

LabX offers a variety of services at no charge, including browsing, searching, registering, and bidding. Additionally, LabX provides a range of paid services, including but not limited to online advertising, listings, and subscription services. LabX provides a platform for users to advertise, sell, solicit purchases, and/or purchase laboratory, scientific, and related items worldwide, utilizing various formats such as fixed prices, auctions, and wanted ads.

LabX provides only the "service" which allows buyers and sellers to connect. Transactions that occur through LabX are facilitated directly between the buyer and the seller. In the event that a dispute erupts with one or more users, LabX (its officers, directors, agents, employees, and subsidiaries) is released from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any connection with such disputes.

4. Fee Schedule and Commissions

LabX reserves the right to modify its fee schedule at any time without advance notice. Users will be notified of any changes to fees before they are incurred. By continuing to use LabX services after such notification, users accept the updated fee schedule. All fees for LabX services are provided and/or quoted in U.S. Dollars unless otherwise stated. Users are responsible for paying all fees and any applicable taxes incurred while using LabX services.

Commission and transaction fees may be collected at the time of the transaction, charged after a predetermined period, or invoiced directly to the seller on a monthly basis. The terms of this collection period are subject to change at LabX's discretion.

Transactions facilitated through LabX may be subject to additional commission or transaction fees as outlined in our fee schedule. These fees are non-refundable.

5. Accuracy, Condition, Legality, and Safety of Items Sold

It's important to note that LabX does not exert control over the quality, safety, or legality of the items advertised. Furthermore, LabX lacks the capability to verify the accuracy of listings, the sellers' capacity to sell items, or the buyers' ability to make purchases.

LabX and its suppliers offer its website and services "as is," without any expressed, implied, or statutory warranty or condition. LabX and its suppliers explicitly disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

LabX and its suppliers shall not be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with the site, the services, or this agreement, including negligence.

6. Payment Processing & Associated Fees

Under this framework, LabX serves solely as a facilitator connecting buyers and sellers. LabX does not assume any liability or responsibility for the handling of payments between parties. Sellers receive payments directly from buyers, and LabX does not intervene in the transactional process. By engaging in transactions on LabX, users agree to absolve LabX from any liability related to or arising from payment processing and sales tax.

Furthermore, sellers are solely responsible for confirming and charging the appropriate sales tax to the buyer as required by law. LabX does not provide tax advice or guidance regarding sales tax obligations, and sellers are encouraged to consult with tax professionals or relevant authorities to ensure compliance with tax regulations.

Transactions facilitated through LabX may be subject to payment processing fees imposed by our third-party payment processing service providers. LabX does not assume liability for these fees and is unable to waive or refund them. The applicable fees are subject to change in accordance with the terms set forth by our third-party payment processing service providers. It is the responsibility of users engaging in transactions to verify the relevant fees and charges associated with payments.

7. Cancellations, Returns, and Refunds

LabX is not responsible for administering or handling order cancellations, returns, or refunds. Any request to cancel an order or receive a refund should be directed to the seller of the item. LabX cannot guarantee that a seller will be able to provide a refund or accept a return once an item has been purchased. For inquiries regarding a seller's return or cancellation policies, please contact the seller directly or refer to the return policy listed on their seller profile.

8. User Authentication and Security

Given the anonymous nature of the Internet, confirming the identity of each user can be challenging, and in some cases, impossible. LabX encourages direct communication between users through the tools available on our site to facilitate transparency and trust.

To further enhance security during transactions, LabX strongly recommends the use of third-party payment services or escrow providers when conducting transactions with unfamiliar individuals or companies. These additional measures can provide an extra layer of protection against potential risks.

LabX does not control the information provided by any user and made available through the LabX system. Please be aware that other users' information may be found to be offensive, harmful, inaccurate, or deceptive. Exercise caution, common sense, and safe trading practices when using the LabX website.

LabX reserves the right to suspend or terminate a user account if fraudulent activity is suspected. Any reports of fraudulent behavior on LabX are thoroughly investigated and taken seriously.

In an effort to facilitate connections between users and potential sellers, LabX may disseminate "general inquiries" to sellers on the platform. These inquiries, submitted through relevant category pages, are not tied to specific listings. LabX reserves the right to send such inquiries to specific sellers as deemed appropriate. General inquiries are included in relevant reports provided to sellers.

9. Seller's Responsibility for User Information and Account Security

As a LabX seller, you may gain access to certain personal information of users, including but not limited to names, email addresses, shipping information, and other contact details necessary to complete transactions. By using the LabX platform, you acknowledge and agree that:

1. You are solely responsible for protecting and safeguarding your LabX account, including any personal data obtained through it.


2. You must take all reasonable precautions to prevent unauthorized access, use, or disclosure of any personal information obtained via the LabX platform.


3. LabX is not liable for any consequences resulting from the loss, theft, or compromise of such information due to a seller’s failure to secure their account.

Failure to comply with this responsibility may result in the suspension or termination of your seller account, as well as potential legal consequences as governed by applicable privacy and data protection laws.

10. Solicitation

The LabX system is designed to facilitate the open exchange of various types of industrial and scientific equipment, supplies, and products. However, the use of the LabX system to solicit against the interests of LabX and its users is strictly prohibited.

LabX users engaging in prohibited solicitation activities, including referring users to competitive websites, will be held liable for any damages suffered by LabX and may face suspension from the platform.

Wanted Ads on LabX are intended solely for individuals or companies seeking instruments or products for their own use. They should not be utilized to drive traffic to external websites or promote business endeavors. Vendors are encouraged to explore the LabX marketplace for items available for potential resale or commercial use.

Advertisements placed as Wanted Ads must relate to requests for scientific, medical, or test/measurement instruments, equipment, accessories, or products. Any advertisement failing to meet this criterion will be removed from the LabX system without prior notice.

LabX reserves the right to approve or decline a Wanted Ad for any reason deemed appropriate, without providing explanation or notice.

It is agreed that no robot, spider, communication device, or manual process shall be used to monitor or copy LabX web pages or content without prior written permission from LabX. Interference with the proper functioning of the LabX site or any ongoing auction, through the use of devices, software, or routines, is strictly prohibited. Users shall not take actions imposing unreasonable or disproportionately large loads on LabX infrastructure. Users shall refrain from copying, reproducing, altering, modifying, creating derivative works, or publicly displaying any content from the LabX website without prior written permission.

11. Listing Guidelines and Related

A comprehensive description of the item, along with all terms of sale, must be included on the listing page. Listings may comprise text descriptions, graphics, pictures, and other content pertinent to the sale of the item. It is imperative that all listed items are placed in the appropriate category. In cases where no category is selected, LabX may categorize each listing as deemed suitable.

Sellers are solely responsible for ensuring they have all necessary rights, licenses, and permissions to use and submit any content they post on LabX, including but not limited to text, images, logos, trademarks, and other intellectual property. By submitting content to LabX, you represent and warrant that you own or have obtained all necessary rights to the content and that its use on LabX does not infringe the rights of any third party.

By submitting content to LabX, you grant LabX a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute the content in marketing materials, promotional resources, and other communications. This includes, but is not limited to, use on our website, social media channels, newsletters, and other media associated with LabX Media Group affiliated brands. LabX will make reasonable efforts to attribute the content to its original creator where appropriate and in accordance with our Privacy Policy.

The use of hyperlinks in any LabX listing is exclusively reserved for active LabX advertising sponsors and requires explicit consent from LabX. Any listing submitted with a hyperlink will be deactivated or deleted immediately and without prior notice. For additional information regarding the use of hyperlinks in listings, please reach out to LabX Customer Support.

Price manipulation is strictly prohibited on LabX. If LabX determines that a user has engaged in or attempted to manipulate the final sale price of any item, immediate suspension from the LabX system will ensue without prior notice.

LabX can provide estimated shipping rates on listings from multiple providers. However, it's important to understand that these rates are estimations based on the information provided by the seller. LabX cannot guarantee the accuracy of these estimates and is not liable for any discrepancies between the estimated and actual shipping costs. Please note that the shipping, handling, and fulfillment of any purchased item are the sole responsibility of the seller. Buyers should verify shipping costs directly with the seller before completing a transaction.

LabX offers the capability to display listing prices in multiple currencies. However, it's important to note that LabX does not handle any currency exchange rates for items purchased through the platform. These fees may vary depending on the third-party payment processor used on our platform, the method of purchase, and prevailing exchange rates at the time of transaction.

12. Privacy

LabX values the privacy of its users. Users may receive occasional communications about LabX services or third-party offers, with opportunities provided to opt out. LabX may be compelled to provide information to law enforcement authorities in case of suspected illegal activity. The current Privacy Policy is available for review on LabX's website.

LabX may allow users to submit feedback, ratings, or reviews on their experience with the platform or a specific seller. No LabX user shall utilize these features to undermine the platform's integrity or manipulate any seller's overall rating or perception. LabX cannot moderate or verify information submitted via these features. Once submitted, feedback and ratings are permanent and will not be removed or modified by LabX except under specific circumstances or if deemed fraudulent.

13. Penalties

In addition to other potential penalties, LabX may issue warnings, temporarily suspend, indefinitely suspend, or terminate membership and refuse services if there is a breach of this Agreement or related documents, inability to verify or authenticate provided information, or if a user's actions may cause legal liability.

14. Final Notes

This Agreement is governed by the laws of the Province of Ontario. LabX does not guarantee uninterrupted access to services. If any provision is held invalid, the remaining provisions shall remain enforceable. This Agreement constitutes the entire understanding between parties. LabX reserves the right to assign this Agreement in the event of a merger or acquisition.

Users agree to indemnify and hold LabX, its parent, subsidiaries, affiliates, officers, directors, agents, and employees harmless from any third-party claim or demand, including reasonable attorneys' fees, arising from any breach of this Agreement or related documents, or violation of any law or third-party rights.

All users must comply with applicable domestic and international laws, statutes, ordinances, and regulations regarding the use of the service and transactional activities.

This Agreement does not create any agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship between users and LabX.
